Form an LLC with Business Partners or Investors

 

Forming an limited liability company in Colorado is a very straight-forward process. After choosing a name for your LLC, the next step is to go to the Colorado Secretary of State and do a business search to ensure your chosen name is available and not already taken or protected by another business.

After ensuring your name is available, select the link to “File a Business Document.” On the following page, select the link that will “File a Form to Create a NEW Record.”

When entering your LLC name information, part of that name must include a designation that signifies your entity is a limited liability company. This can be done by adding the following terms or abbreviations to your LLC name:

  • “Limited Liability Company”
  • “Ltd. Liability Company”
  • “Limited Liability Co.”
  • “Ltd. Liability Co.”
  • “Limited”
  • “L.L.C.”
  • “LLC”
  • “Ltd.”

After submitting this information, you will be brought to the page allowing you to electronically file your LLC Articles of Organization with the Colorado Secretary of State. Some of the information you must provide includes:

  • The principal office address of your entity
  • The name and address of your entity’s registered agent
  • The name and address of the person forming the LLC
  • The name and address of the person causing the Articles of Organization to be delivered to the Colorado Secretary of State
  • Affirming that the LLC has at least one member
  • Whether the management of the LLC is vested in one or more managers, or the members of the LLC

Before filing your Articles of Organization, you should take the time to consider who you want as your registered agent. A registered agent is the contact that the Colorado Secretary of State will use for all official communications. Choosing whether you want your LLC to be manager-managed or member-managed can have important implications for your LLC in the future. One the Secretary of State receives your submitted Articles of Organization and $50 filing fee, you will receive a confirmation and your LLC will be legally formed within Colorado. However, this is just the first step. To firmly protect your interests, you should also register your LLC with the IRS and acquire and Employer Identification Number (EIN), and create an LLC operating agreement.
